EXECUTION VERSION FIRST LIEN FORBEARANCE AGREEMENT THIS FORBEARANCE AGREEMENT, dated as of April 15, 2019 (this “Agreement”), is entered into by and among Fusion Connect, Inc., a Delaware corporation (the “Borrower”), the Guarantor Subsidiaries identified on the signature pages hereto (collectively, with the Borrower, the “Credit Parties”), the Subsidiaries identified on the signature pages hereto (collectively, the “Canadian Subsidiaries”) and the Lenders appearing on the signature pages hereto (the “Forbearing Lenders”).
