This Agreement is made as of February 22, 2010 (the “Effective Date”) by and between Delphi Corporation, its predecessors, subsidiaries, affiliates, divisions and joint ventures (collectively, “Delphi”), and John Sheehan (“Executive”) and hereafter referred to as the “Agreement”.
