This EXECUTIVE VICE-CHAIRMAN AGREEMENT (this “Agreement”), is made as of May 23, 2008 (the “Effective Date”) by and between TOUSA, Inc., a Delaware corporation, its successor and assigns, including but not limited to any reorganized entity (the “Company”), and Antonio B. Mon (“Executive”).

This Agreement is dated this 26th day of September 2022 (this “Agreement”) to be effective as of the Effective Date as defined in Section 22 below, by and between Provident Financial Services, Inc. (the “Company”), a Delaware corporation, and Thomas J. Shara (“Executive”). References to the “Bank” mean Provident Bank, a New Jersey chartered savings bank and wholly owned subsidiary of the Company. The Company and the Bank are sometimes collectively referred to as “Employers.”

This letter agreement (this “Agreement”) is intended to set forth the understanding and agreement between you and Shoe Carnival, Inc. (the “Company”) regarding your resignation as Chief Executive Officer, the termination of your existing Amended and Restated Employment and Noncompetition Agreement dated as of December 11, 2008, as amended (the “Employment Agreement”), and your continuing employment and service as Executive Vice Chairman of the Board of Directors of the Company (the “Board”).
