On April 24, 2007 Pardus European Special Opportunities Master Fund L.P. (together with its affiliates, “Pardus”) and Delphi Corporation (the “Company”) entered into that certain Confidential Information, Standstill and Non-Disclosure Agreement (the “Pardus NDA”).
