EX-10.1 5 exhibit101-formofamendedan.htm EXHIBIT TRANSITION SERVICES AGREEMENT THIS TRANSITION SERVICES AGREEMENT (this “Agreement”) is entered into as of this 30th day of December, 2011, by and between SEACOR HOLDINGS INC., a Delaware corporation (“CKH”), and ERA GROUP INC., a Delaware corporation (“ERA”). W I T N E S S E T H WHEREAS, ERA is a wholly-owned subsidiary of CKH; WHEREAS, ERA desires that CKH and/or certain of its Subsidiaries and affiliates provide certain services in order to assist ERA, and CKH is willing to do so, on the terms and conditions set forth herein.
