EXTENSION OF WAIVER ("this Extension") dated as of January 31, 2001 relating to the Credit Agreement dated as of September 24, 1997 (as the same has heretofore been or may hereafter be amended from time to time, the "Credit Agreement") among UNOVA, INC. Noting that, following a request by the Government of France, the CONTRACTING PARTIES, by Decision of 19 November 19602, waived for an unlimited period the provisions of paragraph 1 of Article I of the General Agreement, to the extent necessary to permit France to apply duty-free tariff quotas to a number of products originating in parts of the territory of the Kingdom of Morocco not covered by the provisions of paragraphs 2 and 4 of Article I of the GATT 1947 (now the GATT 1994);
