SITE LEASE AGREEMENT (this “Site Lease”), dated as of April [ ], 2017, is entered into by and between the State of Colorado, acting by and through the Colorado Department of Transportation (“CDOT”), as lessor, and Zions Bank, a Division of ZB, National Association, a national banking association duly organized and validly existing under the laws of the United States, acting solely in its capacity as trustee under the hereinafter defined Indenture (the “Trustee”), as lessee, and amends and restates in its entirety the State of Colorado Colorado Department of Transportation Headquarters Facilities Site Lease Agreement dated as of December 29, 2016 between the CDOT, as lessor, and the Trustee, as lessee (the “Original Site Lease”).
