THIS FEE CONVERSION AND SETTLEMENT AGREEMENT ("Agreement"), is entered into as of the date of mutual execution by and among Blast Energy Services, Inc., a Texas corporation (“BLAST” or the “Company”) on one hand, and Brian Frank and Lewis Mason (Frank and Mason collectively referred to as the (“Holders”) on the other hand.
