We refer to account numbers 52200107 and 52200973 (the "Financial Accounts") maintained with Community Resource Bank (the "Financial Institution") by CMARK International, Inc., a South Carolina corporation (the "Company") and into which certain moneys, instruments, securities and other property are or may be deposited from time to time. The Company has granted to Sterling Management, Inc., a Minnesota corporation, ("Secured Party") under the Security Agreement, dated as of August 25, 2005, among the Company and Secured Party (as amended, amended and restated, supplemented or otherwise modified from time to time, the "Agreement"), a security interest in the Financial Account Collateral (as defined in the Agreement), including, without limitation, all moneys, instruments, securities and other property deposited in the Financial Accounts and all certificates or other instruments, if any, representing or evidencing the Financial Accounts.
