THIS FORBEARANCE, CONSENT, AND AMENDMENT AGREEMENT (this "Agreement") is entered into as of December 24, 2001, by and between US SEARCH.COM, INC., a Delaware corporation ("USI"), and US SEARCH SCREENING SERVICES, INC., a Delaware corporation ("Screening") (each a "Borrower", and collectively, the "Borrowers") and COMERICA BANK—CALIFORNIA, successor by merger to Imperial Bank ("Comerica").
