This FOREBEARANCE AGREEMENT TO CREDIT AND GUARANTY AGREEMENT (this “Forebearance Agreement"), dated as of December 14, 2001, to the CREDIT AND GUARANTY AGREEMENT, dated as of February 3, 2000 (such agreement as amended, supplemented or otherwise modified from time to time, the “Credit Agreement"), is entered into by and among XO COMMUNICATIONS, INC.
