This GUARANTEE (this “Guarantee”) is entered into as of [·], 2014, among CENTRAL EUROPEAN MEDIA ENTERPRISES N.V., a company incorporated under the laws of the former Netherlands Antilles and existing under the laws of Curaçao (“CME NV”), CME MEDIA ENTERPRISES B.V., a private limited liability company incorporated and existing under the laws of the Netherlands (“CME BV”, and together with CME NV and any other entity that becomes a guarantor hereunder pursuant to Section 25 hereof, collectively, the “Subsidiary Guarantors” and each, a “Subsidiary Guarantor”) as guarantors and TIME WARNER INC., as administrative agent (the “Administrative Agent”), on behalf of itself and the Lenders (as defined below).

The Guarantor, for value received, hereby unconditionally guarantees to each Holder of a 3.500% Senior Note due 2021 (a “Note”) of AGL Capital Corporation, a Nevada corporation (the “Company”), authenticated and delivered by the Trustee pursuant to the terms of an Indenture by and among the Company, the Trustee and the Guarantor dated as of February 20, 2001 (the “Indenture”), and to the Trustee on behalf of each such Holder, the due and punctual payment of the principal of (and premium, if any) and interest, on each such Note, each as provided for pursuant to the terms of such Note when and as the same shall become due and payable, in accordance with the terms of such Note and of the Indenture under which it was issued.
