This Guarantor Security Agreement (this “Agreement”) dated as of , 2004 is by [SUBSIDIARY], a corporation (“Guarantor”), in favor of STATE STREET BANK AND TRUST COMPANY, a Massachusetts banking corporation, as collateral agent (in such capacity, “Collateral Agent”).
