This RECEIVABLES SALES AGREEMENT (this “Agreement”), dated as of _____ (the “Effective Date”), is by and between National CineMedia, LLC, a Delaware limited liability company (“LLC ”), as the seller (the “Seller”) and National CineMedia, Inc., a Delaware corporation, as the purchaser (in such capacity, the “Purchaser”).
