THIS FOUNDER SHARES TRANSFER AGREEMENT (this “Agreement”) is entered into effective as of August 16, 2023 (the “Effective Date”), between Chardan Gardiner LLC, a Delaware limited liability company (the “Chardan Sponsor”), and Gardiner Healthcare Holdings, LLC (the “Transferor”).
