This FOURTH MEZZANINE NOTE A-1-a, dated as of the date first set forth above (this Note), by FCP MEZZCO BORROWER IV, LLC, a Delaware limited liability company (Mezzanine Borrower), having an address at 1505 South Pavilion Center Drive, Las Vegas, Nevada 89135, in favor of GERMAN AMERICAN CAPITAL CORPORATION, a Maryland corporation (GACC), having an address at 60 Wall Street, 10th Floor, New York, New York 10005 (together with its successors and assigns, referred to hereinafter as Holder).
