THIS FOURTH MODIFICATION IN TERMS AGREEMENT (the “Modification”), dated as of February 11, 2005 (the “Effective Date”), is entered into by and among MPW Industrial Services Group, Inc. (“MPW Group”), each of the Subsidiaries of MPW Group listed on the Schedule of Subsidiary Borrowers attached hereto, the Lenders listed on the signature pages of this Modification, and JPMorgan Chase Bank, N.A. (successor by merger to Bank One, NA (Main Office Columbus)), as Administrative Agent and LC Issuer.
