This AMENDMENT #1 (“Amendment”) is entered into as of January 1, 2012 by and between Sony Pictures Television Canada, a division of Columbia Pictures Industries, Inc. (“Licensor”) and Bell Media Inc. (“Licensee”), and amends the Free and Basic Television License Agreements between Licensor and Licensee (the “Original Agreement”) dated September 30, 2011 (contract number FCN11F005X). The Original Agreement as amended by this Amendment may be referred to herein as the “Agreement.” Capitalized terms used and not defined herein have the meanings ascribed to them in the Original Agreement. Licensee and Licensor hereby agree to amend the Original Agreement as follows:
