THIS Agreement is made between the STATE OF WASHINGTON, Department of Transportation, acting by and through the Secretary of Transportation, hereinafter the “WSDOT” and the State of Oregon, Department of Transportation, acting by and through the Oregon Transportation Commission, hereinafter the “ODOT”, together referred to as “PARTIES,” and individually, the “PARTY”. This Agreement shall be effective on the date the Agreement is signed by all PARTIES and approved by the Oregon Transportation Commission (OTC), whichever occurs last.

WHEREAS, the EDA and the Borrower have expressed their desire to have the DEPARTMENT administer work for (i) the expansion of Pacific Boulevard to the south of the intersection with Gloucester Parkway from two to four lanes and (ii) construction of a four lane extension of Pacific Boulevard from the intersection with Gloucester Parkway north to an intersection with Russell Branch Parkway in Loudoun County, Virginia (hereinafter referred to as the “Project”), as further described in Appendix A;
