Each shipment or delivery of sugar products marketed by National Sugar Marketing LLC, a Delaware limited liability company (NSM) to (Buyer) is hereby guaranteed, as of the date of such shipment or delivery, to be, on such date, not adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act, and not an article which may not, under the provisions of Section 402 or 403 of the Act, be introduced into interstate commerce. The products are guaranteed to comply with applicable product specifications and all applicable federal and state laws.

THIS GENERAL AND CONTINUING GUARANTY (as amended from time to time, this “Guaranty”), dated as of June 30, 2006, is executed and delivered by the Persons listed on the signature pages hereof as “Guarantors” and any other Person at any time made a party hereto, whether by execution of an amendment or joinder hereto (each a “Guarantor” and collectively the “Guarantors”), in favor of LEVINE LEICHTMAN CAPITAL PARTNERS III, L.P., a California limited partnership, on behalf of itself and the other Indemnified Parties (in such capacity, the “Beneficiary”).
