THE STANDARD REGISTER CORPORATION, an Ohio corporation (“Seller”), for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and pursuant to, and in accordance with, the Asset Purchase Agreement dated as of the date hereof (the “Asset Purchase Agreement”) among EXPED, LLC, an Ohio limited liability company ("Purchaser”), DOUBLEDAY HOLDINGS, LLC, an Ohio limited liability company ("DoubleDay"), and Seller (unless otherwise defined herein, terms defined in the Asset Purchase Agreement are used herein as therein defined) and notwithstanding that certain of the Assets may be transferred, assigned or conveyed by separate and specific deeds or other instruments of transfer, assignment or conveyance, by these presents does hereby sell, assign, transfer and convey to Purchaser all of Seller’s right, title and interest in, to and under the Assets.

Reference is made to (i) that certain Strict Foreclosure Agreement, dated as of November 17, 2020 (as amended, supplemented or otherwise modified from time to time in accordance with the terms hereof, the “Strict Foreclosure Agreement”), by and among Summit Midstream Partners Holdings, LLC (“Borrower”) and a Summit Midstream Partners, LLC, as “Debtors”, and Credit Suisse AG, Cayman Islands Branch, as “Collateral Agent” (in such capacity, the “Collateral Agent”) and (ii) that certain Term Loan Agreement, dated as of March 21, 2017 (as amended, restated, supplemented or otherwise modified from time to time prior to the date hereof, the “Credit Agreement”), by and among the Borrower, the lenders from time to party thereto, and the Collateral Agent. Capitalized terms used but not otherwise defined herein shall have the respective meanings assigned thereto in the Strict Foreclosure Agreement, and, if not defined therein, in the Credit Agreement.

THIS GENERAL ASSIGNMENT AND BILL OF SALE (this “Assignment”) is made as of the 10th day of December, 2015, by and between Evans Brewing Company Inc., a Delaware corporation (“Assignee”), and Bayhawk Ales Inc., a Delaware corporation (“Assignor”). The Assignor and Assignee may each be referred to herein as a “Party” and collectively as the “Parties.”
