This GENERAL SEVERANCE BENEFITS AND CHANGE IN CONTROL SEVERANCE BENEFITS AGREEMENT (this “Agreement”) is entered into as of the 19th day of May, 2015 (the “Effective Date”), by and between JEFFREY ANDRESON (“Executive”) and NANOMETRICS INCORPORATED (the “Company”) (together, the “Parties”). This Agreement is intended to provide Executive with certain compensation and benefits in the event of certain qualifying terminations of Executive’s employment. Certain capitalized terms used in this Agreement are defined in Article 6.

first payroll pay date following the Termination Date, and (iii) such payment schedule is subject to any delay in payment required by Section 5.5.
