This Agreement (“Agreement”) is by and between Thacker-Grigsby Telephone Co., Inc., (“TGT”), a corporation organized under the laws of the Kentucky, with offices at 60 Communication Lane, Hindman, KY 41822 and Teleport Communications America, LLC, a Delaware company with offices at 1 AT&T Way, Bedminster, NJ 07921 (“TCA”). (TCA and TGT may be referred to hereinafter, each individually, as a “Party,” and, collectively, as the “Parties”).
