This GEOZONE COOPERATION AGREEMENT (“Agreement”) is entered into this 2nd day of March, 2023 (“Effective Date”), by and between Sonoma Clean Power Authority, a California joint powers authority (“SCPA”), and Cyrq Energy Inc., a Delaware Corporation (“Company”), each referred to herein individually as a “Party” and collectively as the “Parties”, regarding the exploration of geothermal resource development opportunities within a specified GeoZone (as defined in Section 1). All capitalized terms used in this Agreement are used with the meanings ascribed to them in Section 1 of this Agreement.
