THIS C-PACE GOVERNING BODY PARTICIPATION AGREEMENT (the “Agreement”) is made and entered into as of the day of , 2018, by and between Park City Municipal Corporation, a body corporate and politic of the State of Utah (the “Governing Body”), and the GOVERNOR’S OFFICE OF ENERGY DEVELOPMENT (OED), an independent body corporate and politic of the State of Utah responsible for the C-PACE District established under Utah Code Ann. § 11-42a (2017) (the “Statute”) (each a “Party” and collectively the “Parties”).
