(this “Grant Agreement”), and subject to the applicable terms, restrictions, provisions and conditions, contained in the limited partnership agreement of the Company (as such may be amended, amended and restated, supplemented, or otherwise modified from time to time, the “Partnership Agreement”). Capitalized terms used herein and not defined shall have the respective meanings assigned to such terms in the Partnership Agreement.
