WHEREAS, Morgan Stanley Smith Barney LLC (“MSSB”) through its Graystone Consulting business(“Graystone”) and The Board of Trustees of the City of Sarasota General Employees’ Defined Benefit Pension Plan, ("Client") have entered into an Institutional Services Agreement dated July 24, 2014 (the "Agreement"); and

This Consulting Institutional Services Agreement (hereinafter “Agreement”) is entered into on behalf of the Board of Trustees for the Consolidated Retirement System, a Town of Longboat Key pension plan & governmental entity (hereinafter ‘Board of Trustees”), by and between the Town of Longboat Key, 501 Bay Isles Road, Longboat Key, FL 34228, a political subdivision of the State of Florida (hereinafter (“Client” or “you”), and Morgan Stanley Smith Barney LLC (“MSSB”, “we” or “us”) through its Graystone Consulting business unit, whose address is 100 N Tampa Street, 30th Floor, Tampa, Florida 33602 (hereinafter referred to as a “Graystone Consulting”). The Client having opened an account or accounts (the “Account”) with MSSB hereby retains Graystone Consulting, under the terms and conditions set forth herein, to perform the services set forth below and in the respective Exhibits attached.
