This Amendment No. 1, dated as of September 30, 2016 (this “Amendment”), to the Second Amended and Restated Indenture, dated as of October 21, 2015 (as may be further amended, restated, supplemented or otherwise modified from time to time, the “Indenture”), by and among Green Tree Agency Advance Funding Trust I, as issuer (the “Issuer”), Wells Fargo Bank, N.A., as indenture trustee (the “Indenture Trustee”), as calculation agent (the “Calculation Agent”), as paying agent (the “Paying Agent”) and as securities intermediary (the “Securities Intermediary”), Ditech Financial LLC (“Ditech”), as administrator (in such capacity, the “Administrator”) and as servicer (in such capacity, the “Servicer”), and Barclays Bank PLC (“Barclays”), as administrative agent (the “Administrative Agent”).
