This End User Subscription Agreement constitutes a legal agreement between Green Shades Software, Inc., a Delaware corporation (“Greenshades”), and each customer who has subscribed for a Greenshades Product by agreeing to a quotation or an order or by paying an invoice (collectively, an “Order”) that includes a subscription for any Greenshades Product (“Customer”), whether such subscription was made directly with Greenshades or through a Greenshades Business Partner. Greenshades is willing to make available and license the Greenshades Products to Customer only as set forth in this Agreement. Except as set forth in each Order, any different or additional terms or conditions of any related purchase order, confirmation, or similar form that conflict with the terms of this Agreement shall have no force or effect.
