This Grid Services Statement of Work (“SOW”) is entered into as of May 6, 2024 (the “Effective Date”) by and between Enphase Energy, Inc. (“Enphase”) and NRG Energy, Inc. (“Customer”) with respect to the ADER program further described below (the “Program”) and is governed by that certain API License Agreement dated June 12, 2023, between Enphase and Customer (the “Grid Services Agreement”), which is incorporated by this reference. Customer may extend its rights under this Agreement to its affiliate, Direct Energy, LP (“Named Affiliate”), provided that the Named Affiliate agrees to comply with the obligations and otherwise be subject to the terms and conditions of this Agreement, and that Customer shall cause the Named Affiliate to comply with the terms and conditions of this Agreement to the full extent as if the Named Affiliate were a party hereto, and that any act or omission relating to this Agreement (including without limitation a breach hereof) by such Affiliate shall constitute
