AGREEMENT made this 14th day of July, 2006, among John Hancock Advisers, LLC, a Delaware limited liability company (the “Adviser”), Independence Investments, LLC a Delaware limited liability company (the “Sub-adviser”) and John Hancock Capital Series, a business trust under the laws of the Commonwealth of Massachusetts (the “Trust”) on behalf of the John Hancock Core Equity Fund (the “Fund”), a series of the Trust.
