This Production Handling and Operating Services Agreement (“Agreement”) effective as of April 18, 2007, (“Effective Date”) is entered into by and between ConocoPhillips Company (“COP”) and Devon Energy Production Company, L.P. (“Devon”), hereinafter collectively referred to as the “Magnolia Owners”, in their capacity as co-owners of the “Magnolia TLP” (as defined hereinbelow), and Callon Petroleum Operating Company (“Callon”), hereinafter referred to as the “Producer”, in its capacity as owner of the “Satellite Leases” (as defined hereinbelow) and “Satellite Production System” (as defined hereinbelow). Each signatory hereto is sometimes referred to singularly as a “Party” or collectively as the “Parties”.
