In consideration of ten and more dollars and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the TOWN OF WILLISTON, a Vermont municipality located in Chittenden County, Vermont, and BURLINGTON TRANSFER STATION, INC., a Delaware corporation with a principal place of business situated at 1496 Redmond Road, Williston, Vermont, agree to extend the term of the Host Town Agreement between them dated September 16, 2008, for an additional two years, with such term ending on June 30, 2016. The parties reserve the right to extend the Host Town Agreement for additional terms. Except as expressly stated herein, the terms and conditions of the Host Town Agreement shall continue in full force and effect.

This Agreement is by and between the Town of Alburgh, Vermont (“Alburgh” or “the Town”), and Champlain VT, LLC d/b/a TDI New England, a Delaware limited liability company with its principal office at 600 Broadway, Albany, NY 12207 (“TDI‐NE”). The Agreement concerns TDI‐NE’s proposal to construct and operate the New England Clean Power Link (“NECPL” or “Project”), a proposed 1,000 MW HVDC electric transmission line. An approximately 0.5 mile portion of the proposed transmission line will be located in the Town on both private land (0.2 miles) and town highways (0.3 miles).

SHAFTSBURY SOLAR PROJECT HOST TOWN AGREEMENT

This Agreement (“Agreement”) is by and between the Town of Shaftsbury, Vermont (“Shaftsbury” or “the Town”), and VT Real Estate Holdings 1 LLC, a Delaware limited liability company with its principal office at 58 Commerce Road, Stamford, CT 06902 (“Shaftsbury Solar”). Shaftsbury Solar and the Town are collectively referred to herein as the “Parties.”

On January 23, 1992 CSWD and the Town of Williston entered into a Purchase and Sale and Host Town Agreement (HTA) regarding the District’s purchase of land on Redmond Road from Hinesburg Sand & Gravel, known in the Agreement as “Parcel B”. A Supplement to the HTA was first executed by the Town and District in 1997 (“Supplement 1”), with subsequent Supplements reauthorized in 2010 (2), 2011 (3), 2012 (4), 2015 (5), and 2017 (6). Supplement 6 expires on June 30, 2020. The Town is seeking to extend the Agreement and authorize Supplement 7 for the period of July 1, 2020-June 30, 2022.
