Houston American Energy Corp., a Delaware corporation (the “Company”), proposes to issue and sell 3,000,000 shares (the “Shares”) of common stock, par value $0.001 per share (the “Common Stock”), to certain investors that are “accredited investors” within the meaning of Rule 501(a) of Regulation D promulgated under the Securities Act of 1933, as amended (the “Act”) or “qualified institutional buyers” within the meaning of Rule 144A (collectively, the “Investors”). The Company desires to engage you as representative (the “Representative”) of the several placement agents listed on Schedule 1 (the “Placement Agents”) in connection with such issuance and sale.
