This Importing Agreement (the “Agreement”) is effective as of 20th July, 2020 (the “Effective Date”) and entered into by and between Osteopore International Pte. Lte., a company organized under the laws of Singapore and with a primary place of business at 2 Tukang Innovation Grove, #09-06 JTC Medtech Hub SINGAPORE 618305 (hereinafter “MANUFACTURER”). PT Sinergi Tridaya Medical, a company organized under the law of Indonesia and with a primary place of business at Green Office Park 6 (MyRepublic Plaza), 3rd Floor Wing B, Zone 7C, Jl Grand Boulevard, BSD City, Tangerang – 15345, Indonesia (hereinafter “DISTRIBUTOR”), and PT. Asia Actual Indonesia, a company organized under the laws of Indonesia and with a principal place of business at Gandaria 8 Office Tower, Unit 6J, Jalan Sultan Iskandar Muda, Jakarta Selatan 12240 Indonesia (hereinafter “ASIA ACTUAL”).
