This IMPROVEMENT AND CREDIT AGREEMENT (“Agreement”) is entered into this day of , 20 , (the “Effective Date”) by and between the County of Riverside, a political subdivision of the State of California (“AGENCY”), the Western Riverside Council of Governments, a joint powers agency, (“WRCOG”), and I10 Logistics Owner, LLC, a Delaware limited liability company, with its principal place of business at 18565 Jamboree Road, Suite 200, Irvine, CA 92612 (“Developer”). AGENCY and Developer are sometimes hereinafter referred to individually as “Party” and collectively as “Parties”.

This Amendment No. 1 to the Improvement and Credit / Reimbursement Agreement (“Amendment No. 1”) is made and entered into this 5th day of October 2022 by and between the City of Corona, a California municipal corporation (“Agency”) and Arantine Hills Holdings LP, a Delaware limited partnership (“Developer”). Agency and Developer are sometimes individually referred to as “Party” and collectively as “Parties” in this Amendment No. 1.
