In accordance with the terms of the offer letter, dated April 11, 2017 (the “Offer Letter”), by and between Organovo Holdings, Inc. (the “Company”) and Taylor J. Crouch (“Participant”), the Compensation Committee of the Board of Directors has granted the Participant a Performance-Based Restricted Stock Unit Award (the “PBRSU”) represented by this Incentive Award Performance-Based Restricted Stock Unit Agreement (the “Award Agreement”) as of the Date of Grant below.
