This INCREMENTAL LOAN AMENDMENT NO. 2, dated as of August 13, 2019 (this “Amendment”), to the Sixth Amended and Restated Credit Agreement, dated as of July 31, 2014 (as amended by the First Amendment to the Sixth Amended and Restated Credit Agreement and First Amendment to the Fourth Amended and Restated Security Agreement, dated as of April 30, 2015, Incremental Loan Amendment No. 1, dated as of April 30, 2015, the Second Amendment, dated as of July 19, 2016 and the Third Amendment to the Sixth Amended and Restated Credit Agreement, dated as of January 3, 2017, the “Credit Agreement”), among SINCLAIR TELEVISION GROUP, INC., a Maryland corporation (the “Borrower”), SINCLAIR BROADCAST GROUP, INC. (the “Holding Company”), the other OBLIGORS party thereto, the LENDERS from time to time party thereto (each a “Lender” and, collectively, the “Lenders”) and JPMORGAN CHASE BANK, N.A., as administrative agent (in such capacity, the “Administrative Agent”).
