This Indemnification Proceeds and Payments Allocation Agreement (this “Agreement”) is dated as of December 1, 2009, by and between Holly Refining & Marketing-Tulsa, LLC (“Holly Tulsa”) and HEP Tulsa LLC (“HEP Tulsa”).
