This Independent Director Stockholder’s Agreement (this “Agreement”) is entered into as of , 2006 (the “Effective Date”) between Capmark Financial Group Inc., a Nevada corporation (the “Company”), and the undersigned person (the “Independent Director Stockholder”) (the Company and the Independent Director Stockholder being hereinafter collectively referred to as the “Parties”).
