This THIRD AMENDMENT TO INDIAN TRAILS LIMITED PARTNERSHIP AGREEMENT is made as of July 1, 2006, between KIMBALL HILL, INC. (“KHI”), an Illinois corporation, and KIMBALL HILL HOMES HOUSTON, L.P. (“KHH Houston”), a Texas limited partnership.

This Agreement of Limited Partnership (the “Agreement”) made and entered into by and between Kimball Hill Homes Houston, L.P., a Texas limited partnership (the “General Partner”) and Kimball Hill Development Company, an Illinois corporation (the “Limited Partner”) dated effective as of October 15, 2003. The General Partner and the Limited Partner are collectively sometimes hereinafter referred to as the “Partners”.
