This Confidentiality and Nondisclosure Agreement (the “Agreement”) is entered into by and between_______, a business with a principal place of business in ____ (hereinafter referred to as “First Party”) and _____, with an office in Newark, Delaware (hereinafter referred to as “Second Party”). First Party and Second Party may be collectively referred to as the “Parties” or individually as a “Party.” This Agreement shall be effective as of the date of the last-executed signature below (the “Effective Date”).

The undersigned employee ("Employee") of ("Company"), acknowledges that Company and Aperture Credentialing, LLC (“Aperture”) have entered into a Credentialing Services Agreement (the “Agreement”) pursuant to which Aperture provides confidential credentialing information to the Company. Pursuant to the Agreement, the Company is obligated to maintain the confidentiality of the confidential business information it receives from Aperture. This obligation extends to all information received by Company from Aperture’s www.CVOne.com website. Employee acknowledges that as a representative of Company who has access to www.CVOne.com as well as other confidential business information received from Aperture, Employee is obligated to maintain the strictest confidentiality of all such information.
