THIS INDUCEMENT PERFORMANCE SHARE UNIT GRANT NOTICE (“Grant Notice”) is made between Rosehill Resources Inc. (the “Company”) and the individual listed below (“you” or the “Participant”). Participant has entered into an Employment Agreement with the company, dated February 22, 2019 (the “Employment Agreement”). Pursuant to the terms of the Employment Agreement, the committee desires to make an award of Restricted Stock Units (“RSUs”) to Participant, representing an “employment inducement award” under NASDAQ Rule 5635(c)(4). Accordingly, this award of RSUs is not being made pursuant to the Amended and Restated Rosehill Resources Inc.
