This Information Sharing and Trading Restriction Agreement is made this 2nd day of April, 2007 by and between Massachusetts Mutual Life Insurance Company (“Intermediary”) and the MassMutual Premier Funds (referred to herein collectively as the “Funds” and individually as a “Fund”).
