THIS INSURANCE AND RISK MANAGEMENT SERVICES AGREEMENT (this "Agreement") is made and entered into as of the 29th of December, 2004, by and between INLAND RETAIL REAL ESTATE TRUST, INC., a Maryland corporation ("Client"), and INLAND RISK AND INSURANCE MANAGEMENT SERVICES, INC., an Illinois corporation ("Service Provider").
