This Integration and License Production Agreement (“Agreement”) is entered into as of June 10, 2013 (“Effective Date”) by and between Machinima, Inc. a Delaware corporation (“Machinima”), with offices at 8441 Santa Monica Blvd, West Hollywood, California 90069, and Columbia TriStar Marketing Group, Inc., a California corporation (“CTMG” or “Company”), located at 10202 West Washington Boulevard, Culver City, California 90232 , and sets forth the understanding and agreement with respect to a co-branded promotion of the upcoming motion picture currently entitled “2 Guns” (“Picture”), to be integrated into certain custom web videosshows (“Integration”) to be produced and, distributed and/or affiliated withby Machinima, on Machinima’s distribution network.
