This Intellectual Property License and Commercialization Agreement (this "Agreement") is made and entered into as of March 19, 2018 (the “Effective Date”), by and between BAS Research, Inc., a Nevada corporation with a principal business address at 1320 Ninth Street, Suite 1, Berkeley CA 94710 ("Licensee") on one hand, and Next Frontier Biosciences, LLC, a Colorado limited liability company with a principal business address at 4910 Fox Street, Unit F, Denver, CO 80216 ("Licensor") on the other hand. Licensor and Licensee may be referred to collectively as the “Parties” or individually as a “Party.”
