This GUARANTY OF INTEREST AND OPERATING COSTS AND INDEMNITY (this “Guaranty”), dated as of the 5th day of January, 2001 is made by PRIME GROUP REALTY, L.P., a Delaware limited partnership having an address at 77 West Wacker Drive, Suite 3900, Chicago, Illinois 60601 (“Guarantor”), in favor of BAYERISCHE HYPO- UND VEREINSBANK AG, NEW YORK BRANCH, as agent (“Agent”) for the lenders from time to time under the Credit Agreement defined below (collectively with Agent, “Lender”) having an address at 150 East 42nd Street, New York, New York 10017.
