INTERIM CREDIT AND GUARANTEE AGREEMENT, dated as of April 26, 2007, among WEBSENSE, INC., a Delaware corporation (the “Company”), WEBSENSE INTERNATIONAL LIMITED, a private limited liability company incorporated under the laws of Ireland with registered number 355326, (the “Irish Borrower”), the several banks and other financial institutions or entities from time to time parties to this Agreement (the “Lenders”), MORGAN STANLEY SENIOR FUNDING, INC., as sole lead arranger and sole bookrunner (in such capacity, the “Lead Arranger”), MORGAN STANLEY SENIOR FUNDING, INC., as syndication agent (in such capacity, the “Syndication Agent”), BANK OF AMERICA, N.A.., as documentation agent (in such capacity, the “Documentation Agent”), and MORGAN STANLEY SENIOR FUNDING, INC., as Interim Administrative Agent (in such capacity, and together with its successors in such capacity, the “Interim Administrative Agent”).
