This agreement (the “Engagement Agreement”) sets forth the terms and conditions of the engagement (the “Engagement”) between SRV Partners, LLC (“SRVP”), a Delaware limited liability company, and PARTS iD, Inc., a Delaware corporation, (together with any affiliate and subsidiaries, successors, and assigns, jointly and severally, the “Company”).
